1. Acceptance and scope
These Terms of Service are a binding agreement between you and Nukhu Media, LLC. By accessing or using nukhu.com, related subdomains, OTT applications, account features, NuVee pages, NuPoint features, campaign tools, NuSpot tools, ambassador links, or other services operated by Nukhu Media, LLC, you agree to these Terms.
The Service includes the Nukhu website, streaming platform, NuVee pages, NuPoints, NuSpots, comments, likes, shares, stacks, member accounts, creator and studio tools, fundraising features, theatre request features, ambassador and referral tools, and related services.
If you use the Service on behalf of a company, studio, advertiser, creator entity, or other organization, you represent that you have authority to bind that organization to these Terms and any applicable addendum.
2. Master terms and linked addenda
These Terms act as the master terms for Nukhu. Some features are governed by additional terms. Those additional terms are incorporated into these Terms when you use the applicable feature.
- NuVee Creator and Content License Addendum: applies when a creator, studio, or rights holder submits, uploads, publishes, or makes a film, episode, series, trailer, still, subtitle, poster, or related materials available on Nukhu.
- Nukhu Fundraising Campaign Terms: apply to creators, studios, and backers who create, submit, approve, fund, back, or participate in Nukhu film fundraising campaigns.
- NuSpot Advertiser Terms: apply to advertisers and agencies that submit, traffic, or pay for NuSpot advertising campaigns.
- Ambassador and Referral Terms: apply to ambassadors, affiliates, creators, and members who use referral links, share links, earning links, or compensated promotional tools.
- Nukhu Foundation Fiscal Sponsorship Notice: explains the separation between standard Nukhu.com commercial crowdfunding and tax deductible charitable donations through the Nukhu Foundation.
If any addendum conflicts with these Terms, the more specific addendum governs for the feature it covers.
3. Privacy
Your use of the Service is also governed by the Nukhu Privacy Policy. The Privacy Policy explains what information Nukhu collects, how Nukhu uses it, how data may be shared, and how users may exercise privacy choices.
4. Accounts, eligibility, and security
You must provide accurate, current, and complete information when creating or using an account. You are responsible for maintaining the confidentiality of your username, password, payment credentials, and account access.
You are responsible for activity that occurs under your account, including unauthorized activity if caused by your failure to secure your credentials. You must promptly notify Nukhu of suspected unauthorized access or security issues.
You may not create multiple accounts to evade limits, restrictions, bans, payout rules, referral rules, campaign rules, or review processes. Nukhu may suspend, restrict, or terminate accounts in its discretion where it believes a user has violated these Terms or created risk to users, creators, backers, advertisers, or Nukhu.
You must be at least 13 years old to use the Service. If you are between 13 and 18, you may use the Service only with consent and supervision from a parent or legal guardian, and you may not make purchases or payments unless permitted by applicable law and authorized by the payment method holder.
5. Limited license to use the Service
Nukhu grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for personal, non-commercial use unless a separate Nukhu agreement permits another use.
You may not copy, scrape, harvest, frame, modify, reverse engineer, resell, reproduce, distribute, or commercially exploit the Service, platform data, user data, page layouts, software, trademarks, media, or content except as expressly allowed through Service functionality or written authorization from Nukhu.
6. NuPoints, purchases, and account balances
NuPoints are Nukhu platform credits used to unlock NuVees, support campaigns, access features, or participate in other platform experiences. Unless Nukhu states otherwise, one NuPoint equals ten cents ($0.10 USD) for platform display and transaction purposes.
NuPoints are not cash, stored value money, bank deposits, gift certificates, securities, or legal tender. NuPoints cannot be redeemed for cash, transferred outside the Service, or used outside Nukhu except where Nukhu expressly allows.
Purchases of NuPoints and payments made on the Service are final and non-refundable except where Nukhu decides otherwise, where required by law, or where specific campaign escrow rules require NuPoints to return to a user's Nukhu account balance.
Nukhu may change NuPoint pricing, minimums, maximums, purchase methods, earning methods, redemption rules, and available features at any time.
7. Watching, unlocking, and purchasing NuVees
A NuVee is a film, episode, series installment, music video, documentary, or other audiovisual work made available through Nukhu. When you unlock a NuVee, you receive a limited, personal, non-transferable right to stream or access that NuVee through the Service while it remains available and while your account remains in good standing.
Unlocking a NuVee does not transfer ownership, copyright, distribution rights, download rights, public performance rights, classroom rights, theatrical rights, or commercial exhibition rights unless Nukhu separately grants those rights in writing.
Nukhu may remove, restrict, geo-block, disable, or change access to a NuVee for legal, rights, technical, business, safety, or creator-related reasons.
8. User content and community participation
You are responsible for comments, reviews, posts, profile information, campaign updates, messages, submissions, share text, referral content, and other materials you make available through the Service.
You may not upload or submit content that is illegal, defamatory, harassing, threatening, obscene, invasive of privacy, infringing, deceptive, malicious, spammy, exploitative, harmful to minors, or otherwise objectionable. Nukhu may remove or restrict content in its discretion.
You grant Nukhu a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, perform, distribute, modify for technical purposes, and use your user content as needed to operate, improve, promote, moderate, and protect the Service.
9. Creator submissions and NuVee licensing
Creators and studios may submit films and related materials to Nukhu for review, publishing, distribution, fundraising, nukhufest, theatrical request activity, or other platform uses. Submission does not guarantee acceptance, publication, distribution, fundraising approval, festival selection, promotion, revenue, or continued availability.
By uploading, submitting, or publishing creator materials, you agree to the NuVee Creator and Content License Addendum. The addendum gives Nukhu the non-exclusive rights it needs to distribute, stream, market, sell, promote, display, use metadata and promotional materials, process captions, show pages, and support platform functionality for the submitted content.
Creators retain ownership of their content unless a separate written agreement says otherwise. Creators are responsible for rights, releases, guild obligations, music, clips, locations, likenesses, taxes, participations, residuals, and any third-party obligations related to their content.
11. Nukhu fundraising campaigns
Nukhu fundraising is a curated campaign layer attached to a NuVee, episode, season, or series record. It is not an open public crowdfunding marketplace. Campaigns must be submitted, reviewed, and approved by Nukhu before going live.
Standard Nukhu fundraising campaigns are commercial film support campaigns. They are not charitable donations, are not tax deductible, do not create equity, do not create securities, do not create investor rights, and do not provide profit participation unless a separate written agreement expressly states otherwise.
Campaign backing uses NuPoints escrow. When a backer pledges to a live campaign, pledged NuPoints may be held until the campaign succeeds or fails. If the campaign fails, pledged NuPoints return to the backer's Nukhu account balance. Returned NuPoints are not automatically pledged to a relaunched campaign. Backers may receive relaunch notices and may choose whether to pledge again.
Successful campaigns may be paid to creators in tranches. Tranche schedules and risk labels may depend on campaign stage, creator history, milestone requirements, updates, proof of progress, and admin review. Risk labels are informational only and do not guarantee completion, delivery, or reduced loss.
Campaigns, tiers, perks, credits, events, screenings, physical items, updates, relaunches, and backer data are governed by the Nukhu Fundraising Campaign Terms.
12. Perks, acknowledgements, and credit rewards
Nukhu may provide recommended support tiers and predefined perk categories to help creators avoid unclear or unrealistic promises. Perks may include access, digital events, recognition, physical items, in-person experiences, or credit acknowledgements.
Perks are subject to admin approval, quantity limits, scheduling, deliverability, legal review, availability, and disclosure notes. Travel and lodging are not included for in-person perks unless expressly stated. Credit perks are subject to final credit requirements, technical limits, distributor requirements, and admin approval.
Nukhu is not responsible for filmmaker-fulfilled perks unless Nukhu expressly states that a perk is Nukhu-fulfilled.
13. NuSpots and advertiser services
NuSpots are advertising or sponsored content experiences that may appear through Nukhu's advertising service. Advertisers and agencies must comply with the NuSpot Advertiser Terms and any insertion order, campaign settings, trafficking criteria, creative policy, or written approval provided by Nukhu.
Advertisers are responsible for their ads, claims, rights, data, legal compliance, clients, payment obligations, and any third-party materials used in NuSpots. Nukhu may reject, pause, remove, or terminate NuSpot campaigns in its discretion.
14. Ambassadors, referrals, and compensated sharing
Nukhu may offer ambassador, referral, affiliate, creator-share, or compensated sharing tools. Participants must comply with the Ambassador and Referral Terms.
If you may receive compensation, rewards, platform credits, referral earnings, or other benefits from sharing a Nukhu link or promoting Nukhu, you must clearly and conspicuously disclose that relationship whenever required by law, platform rules, or Nukhu policy.
15. Request in Theatres and local screenings
Nukhu may allow users to request that a NuVee be screened in a local theatre or event setting. A request is an interest signal only. It does not guarantee a screening, ticket, venue, date, city, filmmaker attendance, refund, or any particular event terms.
If Nukhu organizes or supports a screening, separate ticketing, venue, safety, age, refund, accessibility, and event rules may apply.
16. Nukhu Foundation and fiscal sponsorship
Nukhu Media, LLC operates nukhu.com as a commercial platform. The Nukhu Foundation is a separate nonprofit organization. Standard Nukhu.com fundraising campaigns are not tax deductible.
If a project receives fiscal sponsorship through the Nukhu Foundation, donations must be processed through a foundation-approved donation flow, not through standard Nukhu NuPoints crowdfunding. See the Nukhu Foundation Fiscal Sponsorship Notice for more information.
17. Prohibited conduct
You may not use the Service to violate law, infringe rights, upload malware, scrape data, manipulate purchases, manipulate votes, manipulate referrals, evade account restrictions, misrepresent identity, harass users, spam users, interfere with the Service, solicit passwords, abuse payment systems, exploit minors, impersonate Nukhu or another user, or submit fraudulent content, campaigns, ads, or claims.
18. Third-party services and links
The Service may include links, integrations, identity providers, payment processors, analytics providers, OTT platforms, social platforms, vendor tools, foundation donation pages, and other third-party services. Nukhu is not responsible for third-party services, their terms, their privacy practices, their availability, or their acts and omissions.
19. Taxes and financial responsibility
You are responsible for taxes, fees, banking fees, chargeback costs, data charges, internet access charges, and other costs related to your use of the Service unless Nukhu expressly states otherwise.
Creators, advertisers, ambassadors, and studios receiving payments from Nukhu are responsible for providing accurate tax forms and payment information and for reporting income as required by law.
20. Intellectual property
Nukhu owns or licenses the Service, site design, software, technology, trademarks, logos, page layouts, databases, and platform materials. You may not use Nukhu names, logos, marks, software, or platform materials except as allowed by the Service or with written permission.
Creators and users retain ownership of their submitted content subject to the licenses granted to Nukhu and other users through these Terms and applicable addenda.
21. Copyright complaints and repeat infringers
Nukhu respects intellectual property rights. Copyright notices may be sent to Nukhu's copyright contact at copyright@nukhu.com or by mail to Nukhu Media, LLC, 80 Elizabeth St. New York, NY 10013, Attention: Copyright Agent.
A copyright notice should include: your signature, identification of the copyrighted work, identification of the allegedly infringing material and its location, your contact information, a good-faith statement that use is not authorized, and a statement under penalty of perjury that the information is accurate and that you are authorized to act for the owner.
If material is removed in response to a copyright notice, the affected user may submit a counter-notice where permitted by law. Nukhu may terminate accounts of repeat infringers and may remove or restrict content in its discretion.
22. Suspension, termination, and account closure
Nukhu may suspend, restrict, or terminate access to any account, content, campaign, NuSpot, referral link, payout, or feature at any time if Nukhu believes there has been a violation of these Terms, legal risk, fraud risk, security risk, rights dispute, payment issue, harmful activity, or platform abuse.
Closing an account does not automatically erase records Nukhu must retain for legal, accounting, tax, fraud prevention, rights, enforcement, payment, campaign, or security reasons. Closing an account may affect access to NuVees, NuPoints, campaign pledges, comments, payouts, and account features.
23. Disclaimers
The Service is provided on an as-is and as-available basis. Nukhu does not warrant that the Service will be uninterrupted, error-free, secure, profitable, available in every territory, compatible with every device, or that any content, campaign, screening, ad, perk, or feature will meet your expectations.
Nukhu does not guarantee the success, quality, completion, delivery, revenue, festival selection, audience size, theatrical screening, advertiser performance, ambassador earnings, or campaign outcome of any creator, NuVee, campaign, NuSpot, or platform feature.
24. Limitation of liability
To the fullest extent permitted by law, Nukhu and its owners, officers, directors, employees, contractors, affiliates, licensors, vendors, and agents will not be liable for indirect, incidental, consequential, special, punitive, exemplary, lost profit, lost revenue, lost data, lost goodwill, or business interruption damages arising out of or related to the Service.
To the fullest extent permitted by law, Nukhu's total liability for any claim will not exceed the greater of the amount you paid to Nukhu through the Service during the twelve (12) months before the claim arose or one hundred dollars ($100).
25. Indemnification
You agree to defend, indemnify, and hold harmless Nukhu and its owners, officers, directors, employees, contractors, affiliates, licensors, vendors, and agents from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your use of the Service, your content, your campaign, your advertisement, your referral activity, your violation of these Terms, your breach of warranties, or your violation of law or third-party rights.
26. Governing law, forum, and class action waiver
These Terms are governed by the laws of the State of New York, without regard to conflict of laws rules. Subject to any required arbitration or dispute process in a separate signed agreement, disputes must be brought in state or federal courts located in New York County, New York.
You agree that disputes will be resolved only on an individual basis and not as a class action, collective action, representative action, private attorney general action, or consolidated proceeding except where prohibited by law.
27. Changes to these Terms
Nukhu may update these Terms and any linked addendum by posting updated terms on the Service. Material changes will be effective thirty (30) days after posting or earlier if you accept them, create an account, upload content, submit a campaign, purchase NuPoints, submit a NuSpot, or otherwise consent.
