NuVee Creator and Content License Addendum

1. Applicability and acceptance

This NuVee Creator and Content License Addendum applies when you submit, upload, provide, publish, or make available a NuVee, film, episode, series installment, trailer, caption file, still, poster, thumbnail, logline, synopsis, press kit, metadata, or related materials to Nukhu.

By submitting creator materials, you agree to this Addendum, the Nukhu Terms of Service, and any additional creator, campaign, payout, or upload rules presented in the Service.

2. Definitions

Licensed Content means the audiovisual work and related materials you submit, including films, episodes, series installments, trailers, teasers, clips, stills, posters, subtitles, captions, artwork, metadata, titles, descriptions, loglines, credits, and promotional materials.

Company Platform means Nukhu's digital, internet-enabled, mobile, OTT, streaming, embedded, partner, social, festival, screening, promotional, and related platform channels operated, authorized, or branded by Nukhu.

3. Non-exclusive license grant

You grant Nukhu a non-exclusive, worldwide license during the Term to host, store, reproduce, encode, transcode, stream, distribute, display, publicly perform, market, sell access to, promote, include in contests or festivals, use for platform features, and otherwise make the Licensed Content available through or in connection with the Company Platform.

This license includes the right to use the Licensed Content on nukhu.com, Nukhu-branded URLs, successor sites, OTT applications, embedded players, authorized partner placements, social media pages, promotional pages, nukhufest programming, campaign pages, Request in Theatres pages, and other platform surfaces operated or authorized by Nukhu.

This license is non-exclusive. You keep ownership of your content and may exploit it elsewhere unless a separate written agreement restricts you.

4. Term and renewal

The initial term begins when you accept this Addendum or submit the Licensed Content and continues for twelve (12) months. After the initial term, the license renews for successive twelve (12) month renewal terms unless either party gives notice of non-renewal at least thirty (30) days before the end of the then-current term.

Nukhu may remove or restrict Licensed Content before the end of a term for rights issues, legal concerns, technical reasons, policy violations, business needs, low availability, account issues, non-payment of required fees, or other platform reasons.

5. Revenue share for released NuVees

Unless a separate written agreement states otherwise, eligible creators receive fifty percent (50%) of total sales revenue generated from paid purchases or unlocks of the Licensed Content on Nukhu, based on the NuVee sale price set or approved for that title.

Nukhu retains the remaining fifty percent (50%) to cover hosting, streaming, payment processing, platform operations, marketing, advertising, publicity, customer support, and other operational costs.

Payments are made within sixty (60) days after the end of each calendar quarter, provided the creator is not in material breach, has supplied required tax and payout information, and the amount due exceeds any minimum payout threshold Nukhu may publish.

6. Delivery requirements

You must deliver materials in formats, resolutions, codecs, aspect ratios, subtitle formats, and metadata formats accepted by Nukhu. Nukhu may reject, delay, compress, transcode, subtitle, caption, or request replacement materials where needed for quality, accessibility, platform compatibility, or legal compliance.

You must not include unauthorized advertising, watermarks, malware, code, political campaigning, spam, hidden content, or third-party materials unless you have all required rights.

7. Clearances and third-party obligations

You are solely responsible for securing, administering, paying for, and maintaining all rights, releases, licenses, permissions, and clearances required for Nukhu to exercise the rights granted in this Addendum.

This includes rights for music, sound recordings, compositions, clips, stock footage, artwork, photographs, trademarks, locations, talent, writers, directors, producers, crew, minors, unions, guilds, performers, participants, and any other third-party materials or services appearing in or related to the Licensed Content.

You are responsible for accounting to and paying any third parties entitled to compensation, royalties, residuals, participations, union or guild payments, backend, credit, or other benefits related to the Licensed Content.

8. Promotional materials, metadata, and likenesses

You grant Nukhu the right to use your name, studio name, logos, trademarks, biographical information, cast and crew names, likenesses, stills, clips, trailers, captions, posters, thumbnails, metadata, social handles, and promotional materials to present and promote the Licensed Content, Nukhu, the Company Platform, nukhufest, campaign pages, Request in Theatres activity, and related platform experiences.

Nukhu may create or use excerpts, thumbnails, previews, clips, screenshots, stills, captions, descriptions, tags, structured data, and promotional assets for discovery, SEO, social sharing, accessibility, advertising, festival programming, and platform promotion.

9. No material modification

Nukhu will not intentionally materially alter the creative substance of the Licensed Content without your consent, except for technical, formatting, compression, encoding, captioning, thumbnail, trailer, accessibility, compliance, ad-serving, safety, platform presentation, or promotional uses allowed by this Addendum.

10. Advertising and NuSpots

Nukhu may display advertising, sponsored content, NuSpots, promotional material, campaign messages, banners, overlays, headers, footers, links, or related materials around or in connection with the Licensed Content and its page experience. Nukhu determines the timing, placement, frequency, and format of advertising and sponsored materials on the platform.

11. NuVee pages, campaign pages, and release states

The Licensed Content may appear as a released NuVee page, campaign page, funded project page, series page, episode page, nukhufest page, stack item, browse item, or other platform presentation. Page format, metadata, badges, tags, comments, backer credits, pricing, availability, and page state may change over time.

12. Creator warranties

You represent and warrant that you own or control all rights necessary to grant this license; your submission does not violate law, contracts, privacy rights, publicity rights, copyright, trademark, defamation law, confidentiality obligations, guild obligations, or third-party rights; and Nukhu will not need additional third-party permissions to exercise the rights granted.

You further represent that information you provide about the content, creator, studio, credits, cast, crew, maturity level, territory restrictions, campaign status, and metadata is accurate and not misleading.

13. Review, approval, and no obligation

Nukhu is curated. Submission does not require Nukhu to review, accept, publish, market, promote, fund, screen, or continue displaying any content. Nukhu may decline or remove content for any reason or no reason, subject to any separate written agreement.

14. Taxes, payouts, and records

You are responsible for providing accurate tax, identity, business, studio, banking, and payout information. Nukhu may withhold payments where information is missing, fraudulent, disputed, legally restricted, or where account standing or rights status is unresolved.

You are responsible for all taxes related to payments you receive. Nukhu may issue tax forms or maintain records as required by law.

15. Termination and removal effects

Termination or removal stops future public availability through Nukhu, but does not require Nukhu to remove archived copies, internal records, accounting records, legal records, cached materials, historical analytics, backer records, festival records, or prior promotional references where retention is reasonably needed.

Nukhu may continue to use short references, archival references, or historical information to identify prior availability, festival programming, campaign history, or business records.

16. Indemnification

You agree to defend, indemnify, and hold harmless Nukhu and its owners, officers, directors, employees, contractors, affiliates, vendors, and licensors from claims, damages, liabilities, costs, and expenses arising from the Licensed Content, your breach of this Addendum, your warranties, your rights obligations, your payments to third parties, or any allegation that the Licensed Content infringes or violates rights.

17. Relationship of parties

This Addendum does not create a partnership, joint venture, employment, agency, or fiduciary relationship. Nukhu is not responsible for your production company, crew, cast, vendors, investors, donors, backers, or third-party obligations unless a separate written agreement says otherwise.
