1. Applicability and acceptance
These NuSpot Advertiser Terms apply to advertisers, agencies, brands, networks, and other entities that submit, traffic, manage, pay for, or participate in NuSpot advertising campaigns on Nukhu. These terms supplement the Nukhu Terms of Service.
2. NuSpot service
A NuSpot is advertising, promotional, sponsored, branded, or campaign content delivered through Nukhu's advertising service. Nukhu may deliver NuSpots according to campaign settings, budget, targeting, trafficking criteria, engagement criteria, user experience requirements, and platform availability.
Nukhu may serve NuSpots in standalone ad sessions, around platform experiences, or in other placements determined by Nukhu. Nukhu does not guarantee reach, impressions, conversions, sales, audience composition, or campaign outcome.
3. Advertiser responsibility
Advertiser is responsible for all NuSpots, claims, offers, links, landing pages, targeting requests, creative materials, data, third-party tools, clients, vendors, legal compliance, and rights necessary to use the NuSpot service.
Advertiser represents that it has authority to act on behalf of any client, brand, agency, or third party for whom it uses the service and is responsible for their acts and omissions.
4. Campaign payment and bidding
Nukhu may charge advertisers based on bids, budgets, confirmed engagements, impressions, placement, campaign packages, insertion orders, or other pricing terms accepted in the platform or in writing. Once a bid, order, or engagement is accepted and a visitor engagement is confirmed, charges may be non-refundable unless Nukhu determines otherwise or law requires otherwise.
Advertiser authorizes Nukhu and its payment vendors to charge the payment method or account provided for campaign amounts, fees, taxes, and charges incurred through the NuSpot service. Nukhu may suspend or terminate campaigns for late payment, non-payment, failed payment, chargebacks, fraud risk, or credit concerns.
5. Creative review and rejection
Nukhu may review, approve, reject, pause, remove, or modify the availability of any NuSpot campaign in its discretion, including based on user feedback, brand safety, legal risk, creative quality, misleading claims, technical concerns, rights concerns, or platform fit.
6. Prohibited NuSpot content and conduct
Advertiser may not submit content that is illegal, deceptive, false, misleading, obscene, malicious, infringing, defamatory, hateful, exploitative, harmful to minors, malware-related, spyware-related, or designed to collect unauthorized personal information.
Advertiser may not use the service to pass data to Nukhu that Nukhu could recognize as personally identifiable information unless expressly authorized in writing and supported by appropriate consent, contract, and privacy disclosures.
7. Data
Advertiser may receive campaign reporting made available by Nukhu. Nukhu may use campaign data to provide the service, measure performance, enforce terms, prevent fraud, improve the platform, and report aggregate service statistics.
Nukhu does not sell personal viewership data to advertisers. Advertiser may not attempt to identify individual users from aggregate reports, platform data, or campaign reporting.
8. Confidentiality
Each party may receive confidential business information from the other. Confidential information may be used only to perform or receive the NuSpot service and must be protected with reasonable care. Confidential information does not include information that becomes public without breach, was already known, was independently developed, or was lawfully obtained from another source.
9. Publicity
Unless prohibited by a written agreement, Nukhu may identify advertiser as a customer or advertiser and may use advertiser's name or logo in general customer lists, service descriptions, and marketing materials related to NuSpot services.
10. Indemnification
Advertiser will defend, indemnify, and hold harmless Nukhu and its owners, officers, directors, employees, contractors, affiliates, vendors, and agents from claims, liabilities, damages, costs, and expenses arising from advertiser's NuSpots, landing pages, data, claims, client relationships, legal violations, payment obligations, or breach of these terms.
11. Termination
Nukhu may suspend or terminate NuSpot campaigns or advertiser access at any time for breach, legal risk, payment issues, user complaints, security issues, policy issues, or platform reasons. Provisions that by nature should survive will survive termination.
